Welcome to Dookshop. These Terms of Service explain the rules for using our digital self-publishing platform and related services. By creating an account, uploading content, or using our publishing tools, you agree to these Terms.

Who can use Dookshop?
You must be at least 18 years old or have reached the legal age of majority where you live to use this service. You must also have the legal right to enter into this agreement on your own behalf or on behalf of the person or business you represent.You are responsible for keeping your account information accurate and up to date. You must also keep your login details secure and must not share them with unauthorised persons.

What does Dookshop do?
Dookshop provides a platform that helps authors and rights holders publish, distribute, sell, promote, and manage digital books and related content. We may format files, manage metadata, list titles on our platform, distribute titles to third-party retailers or partners, and provide sales reports and royalty payments.We do not guarantee that every title will be accepted. Third-party retailers and distribution partners may have their own rules, technical requirements, and approval processes.

Your Contents and Rights
You keep ownership of your content. By using Dookshop, you give us permission to host, convert, reproduce, display, distribute, sell, and promote your content for the purpose of providing the service.This permission is non-exclusive, worldwide, and lasts while your content remains active on the platform or on any partner platform we use to distribute it.
You confirm that:
a. You own or control all rights needed to publish the content;
b. your content does not infringe anyone else’s rights;
c. your content is lawful and does not contain material that is defamatory, obscene, fraudulent, or otherwise illegal;
d. all metadata, descriptions, and pricing information you provide are accurate; and
e. You have permission to use any images, excerpts, fonts, or other third-party materials included in your content. -
Samples, Previews, and Promotion
We may show previews, samples, cover images, excerpts, descriptions, and other promotional material to help market your titles. Unless we agree otherwise, we may use up to a reasonable portion of your content for preview purposes.We may also run promotions, discounts, and limited-time offers to help sell or advertise your titles. Where a promotion changes the normal pricing in a way that materially affects your royalties, we will seek your consent where reasonably possible.

Pricing and Royalties
You may suggest a list price for your content, but we may adjust pricing where necessary for technical, tax, currency, or distribution reasons.Unless we agree on a different royalty structure in writing, you will receive 70% of Net Receipts from sales of your content. Net Receipts means the amount actually received after deductions such as taxes, refunds, chargebacks, payment processing fees, and retailer commissions.
We will issue royalty statements on a regular basis and pay you according to the payment schedule shown in your account dashboard or in your service agreement. You are responsible for providing correct payment and tax details.

Payments, Taxes, and Fees
You are responsible for any taxes that apply to your earnings, unless we are required by law to collect or withhold them. You are also responsible for keeping your banking and tax information up to date.If your payment details are incorrect, incomplete, or cannot be verified, we may delay or suspend payment until the issue is resolved.

Content Review and Removal
We may review, reject, remove, suspend, or disable access to any content if we believe it violates these Terms, our content guidelines, a law, or a third-party policy. We may also take these steps if we believe your content creates a legal, technical, or operational risk.If we receive a complaint about your content, we may contact you to request proof of rights, clarification, or other information.

Account Suspension and Termination
You may stop using Dookshop at any time. We may suspend or terminate your account if you breach these Terms, misuse the platform, submit false information, engage in fraud, or create a legal or security risk.If your account is closed, we may stop selling or distributing your content, subject to any obligations we have to prior customers or third-party partners. Any royalties earned before termination that are validly payable will still be handled in accordance with these Terms.

Service Availability
We try to keep the platform available and running smoothly, but we do not guarantee that the service will always be uninterrupted, error-free, or free of technical issues. We may update, change, or pause any part of the service at any time. -
Your responsibilities
You are responsible for:
a. The content you upload;
b. Ensuring you have the rights to publish it;
c. Checking your metadata and pricing;
d. Responding to rights or compliance requests;
e. Keeping your account details current, and
f. Reviewing your statements and reporting any issues promptly. -
Our rights on the platform
Dookshop owns all rights in the website, software, branding, design, tools, and other platform materials we provide. You may use these only for the purpose of using the service in accordance with these Terms. -
Privacy and Confidentiality
We handle personal data in line with our Privacy Policy. You agree not to disclose any non-public information about our business, systems, pricing, or operations unless required by law or authorised by us. -
Limitation of liability
To the fullest extent allowed by law, Dookshop is not responsible for indirect or consequential losses, including loss of profit, loss of data, or loss of business opportunity.Our total liability for any claim relating to the service will not exceed the amount paid or payable to you by Dookshop in the 12 months before the event giving rise to the claim, except where the law does not allow that limit.

Indemnity
You agree to protect Dookshop, our officers, employees, contractors, and distribution partners against claims arising from your content, your breach of these Terms, or your violation of law or third-party rights. -
Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute that cannot be resolved informally will be referred to arbitration in Lagos, Nigeria, in English, by a single arbitrator, unless the law requires otherwise. -
Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will try to notify you by email or through your account. Continued use of the service after the updated Terms take effect constitutes your acceptance of the changes. -
